Legal Statement  

1. Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia” Entities and Ownership
   The entities “Eponimo, Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia, GastronomiCity, LeShopping, Brazil Alive, Advance Australia” are registered to Busifred Pty Ltd, (ABN 66 089 179091) at 50 Haig St Maroubra NSW 2035. Use of the names or any suggestion of persons acting on behalf of the entities “Eponimo, Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia, GastronomiCity, LeShopping, Brazil Alive, Advance Australia” is strictly forbidden without the express written permission of the owners of “the entities”.



2. Communications by or for Agents, Sponsors, Suppliers and or Third Parties
   Any communications by non-authorised persons to “Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia” sponsors, suppliers and or any third parties, which question in any way, the veracity, goodwill, authority and or ownership of the entity “Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia” and or its Directors, principles or employees will prosecuted to full strength of the laws of the state of NSW, Australia. Any non-malicious or mistaken communication already made to sponsors, suppliers and or any third parties must be retracted with an apology within 24 hours and published in local newspapers.



3. Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia” Management Licence
   The “Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia Management Licence” is issued by Busifred Pty Ltd to third parties under strict legal obligations to protect “Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia” commercial security and that of our suppliers and sponsors for 2008 and or beyond.



4. Obligations relating to the cessation of the licence include:
   Upon cessation any contracted third party will and its agents or employees will immediately (see original lisence terms) cease to make any further representations utilising the “Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia and or French Rendez-vous, GastronomiCity or LeShopping” brand names as these names are registered to companies controlled by Busifred Pty Ltd and are protected under Australian company and intellectual property laws.



5. Further Obligations relating to the cessation of the licence include:
   Third parties and their agents or employees will immediately cease all use or mention of the “Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia and or French Rendez-vous, GastronomiCity or LeShopping” brand name websites, databases, designs, materials and goodwill accrued by Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia as they are also the property of Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia and or companies controlled by Busifred Pty Ltd and as such are protected by Australian Companies and Intellectual Property laws.



6. Management, License Fees and Outstanding Invoices
   Third parties will make prompt payment of all outstanding invoices including all suppliers and third party agreements incurred during the duration of the licence including the Management and License Fees owed to Busifred Pty Ltd. Prompt payment of all outstanding expenses incurred by the representatives of "Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia" on behalf of the Licensee (to be supplied by FRV as soon as practicable.



7. Sponsorships and Trade Related Agreements
   All Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia sponsorships and other trade related agreements negotiated on behalf of “Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia and or French Rendez-vous, GastronomiCity or LeShopping”, still owed or not delivered during the lisence period are to be promptly made available in the name of Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia (NOT in the name of the Licensee) and or be delivered to the registered office of Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia at 50 Haig St Maroubra NSW 2035.



8. Redirection of Correspondance and Comunications
   Immediate communication to all third parties of the termination of the Licence and redirection of all correspondance and comunications to the registered office of Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia at 50 Haig St, Maroubra 2035, Australia.



9. Defamation
   Busifred Pty Ltd, will legally protect the large financial, organisational and human resource investments made to fund, administer and develop the commercial and cultural brands “Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive and or Advance Australia”. Derogatory or damaging statements, of a personal or of a commercial nature, written or verbal, which question the ownership, trademarks, commercial relationships, financial standing and or goodwill of “Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive and or Advance Australia” will be considered defamatory by the owners.



10. Decisions and or Actions by NON-authorised Parties
    “Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia” is and has always been under the strategic direction of Busifred Pty Ltd and, not limited to all management related to the cultural and commercial objectives including, sponsorships, promotions, public relations, advertising, websites, ticketing, contracts, agreements and or any other and all elements related to the strategic and tactical management of the “entities”. However, “Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia” its CEO and or its owners accept NO responsibility for any decisions and or actions taken by non-authorised third parties, their employees and or agents without the express written approval of Busifred Pty Ltd.



11. Financial Obligations
    Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia and its owners take NO financial or legal responsibility for the failure of third parties to meet their obligations outlined, although not restricted, to the above. Eponimo, French Rendezvous, GastronomiCity, LeShopping, Brazil Alive, Advance Australia and its owners bear NO liability for any subsequent or consequent actions, legal or otherwise, taken against third parties in regards to any matter above but not limited to those matters.
